Terms of Service

Product: Kayz — Motorcycle Ride Organizer
Effective Date: May 16, 2026
Last Updated: May 16, 2026

Introduction

These Terms of Service ("Terms") govern your access to and use of the Kayz mobile application, associated backend services, and any related interfaces (collectively, the "Service"). The Service is operated by Looma LLC, a North Carolina limited liability company doing business as Kayz ("Looma LLC," "we," "our," or "us"). References to "Kayz" throughout these Terms refer to the Service and product; references to the contracting legal entity are to Looma LLC.

Please read these Terms carefully before using the Service. By creating an account, accessing the Service, or clicking any button indicating acceptance, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not use the Service.

Kayz is a coordination tool, a platform that enables motorcycle riders to organize and discover group rides. Kayz is not a transportation provider, a motorcycle club, a tour operator, or a safety certification authority. We facilitate communication and coordination between independent riders; we do not plan, lead, direct, supervise, or guarantee the safety of any ride activity.

1. Eligibility and Account Registration

1.1 Age Requirement

You must be at least 18 years of age to create an account or use any feature of the Service that requires authentication, including creating rides and submitting RSVPs. By using the Service, you represent and warrant that you are 18 years of age or older. If we discover that you are under 18, we will immediately terminate your account and delete your data.

1.2 Motorcycle Riders Only

The Service is designed exclusively for motorcycle riders. By creating an account, you represent that you are a licensed motorcycle rider or are otherwise authorized under applicable law to operate a motorcycle. The Service is not intended for cyclists, moped riders, scooter riders, or participants in non-motorized activities, except where applicable law treats such vehicles identically to motorcycles.

1.3 Account Registration

To access features requiring authentication (creating rides, RSVPing), you must register an account by providing a valid email address, creating a password, selecting a display name, and specifying your home region. You agree to:

  • Provide accurate, current, and complete registration information;
  • Maintain the security of your password and accept responsibility for all activity that occurs under your account;
  • Promptly notify us at hi@kayz.club if you suspect unauthorized access to your account;
  • Not share your credentials with any other person or entity.

You are responsible for all content posted and actions taken through your account, whether or not you authorized such activity.

1.4 One Account Per Person

You may register only one account. Creating multiple accounts to evade a suspension or ban is a material breach of these Terms and will result in permanent termination of all associated accounts.

1.5 No Account Required to Browse

You may browse published rides and view ride details without creating an account. Account registration is required only to create a ride or submit an RSVP.

2. License to Use the Service

Subject to your compliance with these Terms, Kayz grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes: specifically, to organize or participate in motorcycle ride activities. This license does not include any right to:

  • Sublicense, sell, resell, or commercially exploit the Service or any content derived from it;
  • Modify, adapt, translate, or create derivative works of any part of the Service;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to extract the source code of the Service;
  • Use automated means (bots, scrapers, crawlers) to access, extract, or interact with the Service;
  • Frame or mirror any part of the Service without our prior written consent;
  • Use the Service in any manner that could damage, disable, overburden, or impair our systems.

All rights not expressly granted herein are reserved by Kayz.

3. Ride Creation and Host Responsibilities

3.1 Who Is a Host

A "Host" is any user who creates and publishes a ride on the Service. By creating and publishing a ride, you assume the role of Host and accept the responsibilities set out in this section.

3.2 Accuracy of Ride Information

As a Host, you are solely responsible for the accuracy and completeness of all information you publish, including:

  • Ride title, date, and start time;
  • Start location, destination, and all waypoints;
  • Route description, notes, and any safety considerations;
  • Attendee capacity settings.

You represent that all ride information is accurate at the time of publication. You must promptly update or cancel a ride if material details change. Knowingly publishing false, misleading, or deceptive ride information is a violation of these Terms.

3.3 Host Duties

As a Host, you understand and agree that:

  • You are not a professional guide, tour operator, licensed event organizer, or safety expert in your capacity as a Host on Kayz unless you hold such qualifications independently;
  • You are responsible for your own conduct before, during, and after any ride you organize;
  • You have no duty under these Terms to supervise, lead, or ensure the safety of other riders who RSVP to your ride; each rider is responsible for their own safety and ride decisions;
  • You will comply with all applicable traffic laws, motorcycle licensing requirements, road use regulations, and permit requirements that govern the planned route;
  • If you impose an attendee cap, you are responsible for managing the attendee list accurately through the Service;
  • You will send timely updates or cancellation notices through the Service if the ride changes or is cancelled.

3.4 Prohibited Ride Content

You may not publish rides that:

  • Are designed to facilitate illegal street racing, reckless driving, or any activity that violates traffic law;
  • Are intended to organize activity on private property without authorization;
  • Involve routes or activities that are unlawful in the applicable jurisdiction;
  • Contain false meeting locations or deceptive route information designed to endanger or defraud participants;
  • Are associated with criminal activity, gang activity, or harassment of other road users.

3.5 Right to Remove Ride Content

Kayz reserves the right, but not the obligation, to remove any ride that violates these Terms, applicable law, or that we determine in our sole discretion poses a risk to user safety or platform integrity. Removal of a ride does not create liability on the part of Kayz to the Host or any attendee.

4. RSVP and Attendee Responsibilities

4.1 RSVP Is Not a Guarantee

Submitting an RSVP ("going") signifies your stated intent to attend a ride. It is not a contract with the Host or Kayz, and it does not entitle you to compensation or relief if the ride is cancelled, modified, postponed, or does not meet your expectations.

4.2 Attendee Conduct

By RSVPing to and attending a ride, you agree that:

  • You are responsible for your own safety and the safety of others who may be affected by your riding;
  • You hold a valid motorcycle license and all other permits required by applicable law to operate your motorcycle on the planned route;
  • Your motorcycle is in a roadworthy and legally compliant condition;
  • You will comply with all applicable traffic laws, speed limits, road use regulations, and instructions from public safety authorities;
  • You will exercise your own independent judgment about whether to continue a ride if conditions become unsafe;
  • You will cancel your RSVP through the Service if you will not attend, so that hosts can accurately assess attendee counts and manage waitlists.

4.3 Waitlist

If a ride has reached its attendee cap, submitting an RSVP will place you on a waitlist in first-in, first-out (FIFO) order. You will be automatically promoted to a confirmed ("Active") RSVP if an Active attendee cancels, the Host raises the cap, or the Host removes the cap. You will receive a push notification upon promotion. Waitlisted status does not constitute a confirmed place on the ride.

4.4 RSVP Cancellation

You may cancel your RSVP at any time through the Service. Kayz does not impose a cancellation deadline. However, as a courtesy to Hosts and other riders waiting on the waitlist, we encourage prompt cancellation when you know you will not attend.

5. User Conduct and Prohibited Activities

5.1 General Code of Conduct

You agree to use the Service in a manner that is lawful, respectful, and consistent with the purpose of facilitating safe motorcycle ride coordination. You are solely responsible for your conduct on and off the platform in connection with any ride organized or discovered through the Service.

5.2 Prohibited Conduct

You agree not to:

Regarding Content:

  • Post ride content, profile information, or reports that are false, fraudulent, defamatory, obscene, hateful, harassing, or threatening;
  • Impersonate another person or entity, or misrepresent your affiliation with any person or organization;
  • Use the Service to advertise, promote, or solicit commercial services without our prior written consent;
  • Post content that infringes the intellectual property, privacy, or other rights of any third party;
  • Include personal contact information (phone numbers, home addresses) of others without their consent.

Regarding Platform Integrity:

  • Attempt to gain unauthorized access to any account, system, or network associated with the Service;
  • Introduce malware, viruses, or any other harmful code into the Service;
  • Use the Service to collect user information for the purpose of sending unsolicited communications;
  • Create accounts or publish rides for the purpose of generating fake activity, inflating RSVP counts, or otherwise distorting the integrity of the platform;
  • Interfere with the proper operation of the Service or circumvent any technical access control.

Regarding Safety:

  • Use the Service to organize, promote, or facilitate illegal racing events, stunt riding on public roads, or any activity that poses unreasonable danger to riders or the public;
  • Publish route information that you know to be impassable, dangerous due to road conditions, or subject to a legal closure;
  • Use the Service to intimidate, coerce, or extort other users.

5.3 Reporting Violations

If you become aware of content or conduct that you believe violates these Terms, you may report it through the in-app reporting feature. We take reports seriously and will investigate in accordance with our moderation procedures, but we make no guarantee of any particular outcome or response time.

6. Content Ownership and License

6.1 Your Content

You retain ownership of all content you submit to the Service, including ride descriptions, notes, and profile information ("Your Content"). By submitting Your Content to the Service, you grant Kayz a worldwide, royalty-free, non-exclusive, sublicensable license to use, host, store, reproduce, display, adapt, and distribute Your Content solely for the purpose of operating and improving the Service. This license terminates when Your Content is deleted from the Service, subject to reasonable caching and backup retention periods.

6.2 Representations Regarding Your Content

You represent and warrant that:

  • You own or have the necessary rights to Your Content and to grant the license above;
  • Your Content does not infringe the intellectual property, privacy, or other rights of any third party;
  • Your Content complies with these Terms and all applicable laws.

6.3 Kayz's Intellectual Property

All aspects of the Service not constituting Your Content, including the app design, user interface, logos, trademarks, software, algorithms, route-rendering technology, and documentation, are the exclusive property of Kayz or its licensors and are protected by applicable intellectual property laws. Nothing in these Terms transfers ownership of any Kayz intellectual property to you.

6.4 Feedback

If you submit suggestions, ideas, enhancement requests, or other feedback about the Service ("Feedback"), you grant Kayz an irrevocable, perpetual, royalty-free, worldwide license to use and incorporate that Feedback into the Service or other products without any obligation to compensate you or keep it confidential.

7. Critical Safety Disclaimer

THIS SECTION CONTAINS IMPORTANT LIMITATIONS REGARDING SAFETY. READ CAREFULLY.

7.1 Inherent Risk and Assumption of Risk

Motorcycle riding is an activity that involves inherent and significant risks, including the risk of serious injury or death. These risks exist regardless of skill level, experience, equipment, or route conditions and cannot be eliminated by any coordination platform or safety measure.

By using the Service to organize or participate in any ride, you voluntarily and expressly assume all risk of injury, death, property damage, or other loss arising from or related to motorcycle riding, including risks arising from the actions or omissions of other riders, road conditions, weather, equipment failure, and all other hazards associated with motorcycle operation. You acknowledge that you are aware of and understand these risks, that your participation is voluntary, and that you are choosing to assume these risks of your own free will.

7.2 Kayz's Role

Kayz is a coordination software platform only. Kayz:

  • Does not plan, supervise, lead, control, or participate in any ride;
  • Does not inspect, vet, or certify the safety of any route, road, or destination;
  • Does not verify the qualifications, licensing status, skill level, or fitness of any Host or attendee;
  • Does not verify that any motorcycle is roadworthy or legally compliant;
  • Does not monitor real-time ride conditions, weather, or traffic;
  • Does not guarantee that ride information published by Hosts is accurate or complete.

7.3 Your Responsibility

You are solely responsible for:

  • Conducting your own independent safety assessment of any ride before deciding to participate;
  • Verifying that route conditions, weather, and road closures are suitable at the time of the ride;
  • Ensuring that you hold a valid motorcycle license and all permits required by applicable law;
  • Ensuring that your motorcycle meets all legal roadworthiness requirements;
  • Wearing appropriate protective gear in accordance with applicable law and sound safety practice;
  • Making independent decisions about whether to continue a ride if conditions change;
  • Your own actions while participating in any ride organized through the Service.

No information provided through the Service, including route polylines, distance estimates, duration estimates, or waypoint data, constitutes professional navigation, safety, or routing advice. Such information is provided as a coordination convenience only and may be inaccurate, outdated, or incomplete.

7.4 Release of Claims

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU HEREBY RELEASE, WAIVE, DISCHARGE, AND COVENANT NOT TO SUE LOOMA LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUCCESSORS FROM ANY AND ALL LIABILITY, CLAIMS, DEMANDS, ACTIONS, AND CAUSES OF ACTION WHATSOEVER, WHETHER KNOWN OR UNKNOWN, ARISING OUT OF OR RELATED TO ANY INJURY, DEATH, LOSS, OR HARM (INCLUDING PHYSICAL INJURY, PROPERTY DAMAGE, OR ECONOMIC LOSS) THAT OCCURS TO YOU OR ANY THIRD PARTY IN CONNECTION WITH YOUR PARTICIPATION IN, OR ORGANIZATION OF, ANY RIDE COORDINATED THROUGH THE SERVICE.

This release applies to claims based on negligence, product liability, contract, tort, or any other legal theory, to the maximum extent permitted by law. 9. Third-Party Services

The Service integrates with third-party services, including Mapbox (maps and routing), Supabase (infrastructure), and Expo Push (notifications). Your use of these integrated services is subject to those third parties' own terms of service and privacy policies. Kayz is not responsible for the performance, availability, accuracy, or conduct of any third-party service. We do not endorse or make any representation about any third-party service.

10. Disclaimers of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

KAYZ EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING:

  • Results: We do not warrant that the Service will meet your expectations or produce any particular result.

Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the above exclusions apply only to the maximum extent permitted by applicable law.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

11.1 Exclusion of Consequential Damages

KAYZ, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, PERSONAL INJURY, PROPERTY DAMAGE, OR ANY PHYSICAL HARM ARISING OUT OF OR RELATED TO:

  • YOUR USE OF OR INABILITY TO USE THE SERVICE;
  • ANY RIDE ORGANIZED OR ATTENDED THROUGH THE SERVICE;
  • THE CONDUCT OF ANY HOST, ATTENDEE, OR OTHER USER;
  • INACCURATE OR INCOMPLETE ROUTE, LOCATION, OR RIDE INFORMATION;
  • ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA.

THIS EXCLUSION APPLIES REGARDLESS OF WHETHER KAYZ WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE THEORY OF LIABILITY.

11.2 Cap on Direct Damages

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KAYZ'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES YOU PAID TO KAYZ IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

11.3 Essential Basis of the Bargain

The limitations of liability in this Section 11 reflect a reasonable allocation of risk between the parties and are an essential element of the basis of the bargain between you and Kayz. Kayz would not be able to provide the Service on the terms set forth herein without these limitations.

11.4 Jurisdictional Exceptions

Some jurisdictions do not allow certain limitations on liability. In those jurisdictions, the limitations in this Section apply only to the maximum extent permitted by applicable law. Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by Kayz's gross negligence or willful misconduct; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be limited or excluded by applicable law.

12. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Kayz, its affiliates, directors, officers, employees, and agents from and against any and all claims, actions, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service;
  • Any ride you create, organize, co-host, or attend through the Service;
  • Your violation of these Terms or any applicable law or regulation;
  • Your infringement of any intellectual property, privacy, or other right of any person or entity;
  • Your Content (as defined in Section 6);
  • Any claim by a third party (including other riders, third parties on or near a route, or public authorities) arising from conduct related to a ride organized or discovered through the Service.

Kayz reserves the right, at its own cost, to assume exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with Kayz's defense of such claims. You will not settle any claim that imposes any obligation, restriction, or liability on Kayz without our prior written consent.

13. Account Suspension and Termination

13.1 Termination by You

You may terminate your account at any time using Settings → Delete Account in the Kayz app (confirm your @handle and re-authenticate with your sign-in provider), by submitting a request at https://kayz.club/delete-account, or by contacting us at hi@kayz.club. Upon account deletion, your profile will be removed and your personal information will be processed in accordance with our Privacy Policy. Upcoming hosted rides and your RSVPs are cancelled; completed and cancelled rides you hosted may remain visible with your name removed. Ride content may be retained in anonymized or aggregated form for moderation and safety purposes, as described in the Privacy Policy.

13.2 Suspension and Termination by Kayz

Kayz may, in its sole discretion, suspend, restrict, or terminate your access to the Service at any time, with or without notice, for conduct that we determine:

  • Violates these Terms or any of our policies;
  • Poses a risk to the safety of any user or third party;
  • Constitutes illegal activity;
  • Is harmful to the integrity or reputation of the Service;
  • Is otherwise objectionable, as determined by Kayz in its discretion.

Kayz is not obligated to provide a specific reason for suspension or termination in all circumstances, particularly where disclosure would compromise a safety or legal investigation. Where practicable, we will notify you of a suspension by email and provide an opportunity to respond, except where the conduct is severe, repeated, or poses an imminent safety risk.

13.3 Effect of Termination

Upon termination of your account:

  • Your license to use the Service immediately terminates;
  • You must cease all use of the Service;
  • Sections of these Terms that by their nature should survive termination will survive, including Sections 6 (Content Ownership), 7 (Safety Disclaimer), 8 (DMCA), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), 14 (Dispute Resolution), and 16 (General Provisions).

14. Dispute Resolution

14.1 Informal Resolution

Before initiating formal dispute proceedings, you agree to contact Kayz at hi@kayz.club and provide a written description of the dispute, your requested resolution, and your contact information. We will attempt to resolve the dispute informally within 30 days of receipt. Both parties agree to negotiate in good faith during this period.

14.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service (including their formation, interpretation, breach, or termination) shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules, rather than in court. The arbitration shall be conducted in Raleigh, North Carolina or, at the election of either party, via videoconference.

Exceptions to Arbitration:

Either party may seek relief in a court of competent jurisdiction for:

  • Claims for injunctive or other equitable relief to prevent infringement of intellectual property or unauthorized use of the Service;
  • Small claims court claims that qualify under applicable small claims court rules.

14.3 Class Action Waiver

YOU AND KAYZ AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both parties agree in writing, no arbitrator or court may consolidate more than one person's claims or otherwise preside over any form of class or representative proceeding. If this waiver is found unenforceable with respect to any claim, that claim will be severed from arbitration and litigated in court, and all other claims shall proceed in arbitration.

14.4 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of North Carolina, USA, without regard to its conflict of law principles. Any dispute not subject to arbitration shall be brought exclusively in the state or federal courts located in Wake County, North Carolina, and you consent to personal jurisdiction in those courts. For users in the European Union or United Kingdom, mandatory consumer protection provisions of your country of residence may also apply and shall not be excluded by this choice of law.

14.5 Time Limitation on Claims

To the fullest extent permitted by applicable law, any claim arising out of or related to these Terms or the Service must be commenced within one (1) year after the cause of action accrues. Claims not commenced within this period are permanently barred.

15. Changes to These Terms

Kayz reserves the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Last Updated" date at the top of these Terms;
  • Notify you via push notification, in-app notice, or email sent to your registered address.

Your continued use of the Service after the effective date of any changes constitutes your binding acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and may delete your account.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms incorporated by reference, constitute the entire agreement between you and Kayz with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, representations, and understandings.

16.2 Severability

If any provision of these Terms is held by a court or arbitrator to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will continue in full force and effect.

16.3 Waiver

Our failure to enforce any provision of these Terms on any particular occasion does not constitute a waiver of our right to enforce that provision on any future occasion or to enforce any other provision of these Terms.

16.4 Assignment

You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without our prior written consent. Kayz may freely assign its rights and obligations under these Terms, including in connection with a merger, acquisition, or sale of assets, without notice to you unless otherwise required by applicable law.

16.5 Force Majeure

Kayz will not be liable for any failure or delay in performance of its obligations under these Terms to the extent caused by circumstances beyond its reasonable control, including acts of God, natural disasters, pandemics, war, government actions, power failures, or internet infrastructure outages.

16.6 No Agency

Nothing in these Terms shall be construed to create a partnership, joint venture, employer-employee, franchise, or agency relationship between you and Kayz. You have no authority to bind Kayz to any obligation.

16.7 Headings

Section headings in these Terms are for convenience only and have no legal or contractual effect.
